Booking Terms & Conditions

This document contains information with important legal consequences.
It is essential that all agents and Guests carefully read and consider the contents.

ACCEPTANCE, GUEST REPRESENTATION AND CONSENT:

• A reference to “the Company” means the company in the Time and Tide Group (as defined in the glossary at the end of this document, hereinafter referred to as “TTG”) through which you make your booking and includes Time and Tide (S) Ltd, Time and Tide SA (Pty) Ltd, Kapani Ltd, Chongwe River Lodge Ltd, High Spirit Lodges and Ankao Management S.A or any one of them as the context may indicate.
• The person making any booking with the Company (the primary agent or primary traveller, as the case may be) represents and warrants that he or she has the capacity and authority to enter into a contract on behalf of all Guests included in the reservation as well as their Associates. In the event of the failure of any Guest to make payment, the primary traveller agrees to be personally liable on a joint and several basis with other Guests and their Associates for all charges associated with the reservation.
• By making payment of the deposit or any other payment in relation to a booking (whether directly or indirectly) with the Company the primary agent, primary traveller and each other Guest agrees that they are aware of the nature and contents of this document, that they and their Associates are bound thereby, as well as such further terms and conditions as may be contained in documentation issued by TTG in connection with the reservation, including but not limited to the Company’s General Terms and Conditions, as may be contained on the Company’s website www.timeandtideafrica.com, (copies of which are available upon request) whether or not the primary agent, primary traveller or other Guest signs the reservation or any other document.

PROVISIONAL BOOKINGS:

• Bookings made on a provisional basis must be confirmed within 14 days thereafter. Bookings for travel within the same month will be held for a maximum number of 5 days. The Company reserves the right to cancel any booking that is not confirmed within this period. In extraordinary circumstances, the Company may hold the booking for longer than the specified days in its sole discretion. Should there be requests for the same dates, the Company will require confirmation of the booking and payment of the deposit within 48 hours and failing such confirmation and payment the Company may cancel the booking without further notice.

AGENT EDUCATIONALS, FAMILIARISATION, MEDIA & MARKETING TRIPS:

• TTG reserves the right to change the routes, lodges and camps allocated in the original itinerary without prior consultation. Changes can be made up to 3 days before arrival and the agent will also be notified of any amendments made.

PAYMENT TERMS:

• For bookings made prior to 45 days before the arrival / check-in date, a deposit of 20% of the total cost of the booking and 100% of the cost of any third party/Supplier services held, is required to confirm the booking and secure the space. This is non-refundable and due upon dispatch by the Company of a confirmed reservation summary. Full payment of the balance is due 45 days prior to the arrival / check-in date.
  Bookings made 45 days or less before the proposed arrival / check-in date require payment in full in order to secure the reservation.
• Payment must be made in the currency specified in the invoice.
• TTG reserves the right to cancel bookings if the deposit is not paid when due, or the balance is not paid in full by the required deadline.
• The Company accepts two methods of payment:
  1. Electronic Bank Transfers: Funds transferred to the Company should be the full amount invoiced to the bank details on the invoice. The payer is liable for all foreign exchange commissions and /or bank charges.
     • For Local payments within Zambia, please discuss with your travel designer
  2. Credit card payment: the Company accepts payment by all major credit cards. An administrative fee of 4% of the invoice amount will be charged by the Company for credit card payments.

FESTIVE SEASON TERMS:

• Time + Tide Safaris and Miavana By Time + Tide
• Festive Season is determined as 20 December to 05 January
• Provisional space will only be held for 7 days before releasing.
• SADC / Resident Rates do not apply over Festive Season

EXCLUSIVE USE BOOKINGS:

• Miavana By Time + Tide
  Minimum stay of 5 nights and maximum capacity of 40 pax
  Conservation fees and access levies are included in the Exclusive use rate for 2025 and excluded for 2026
• Due to helicopter logistics and time capability, helicopters transfers are not included and will be charged separately
• A non- refundable commitment fee of 20% of the total booking value is required to secure the accommodation
• Full and final payment of the remaining balance is required 90 days before travel.

CANCELLATION TERMS:

• Confirmed flights and other Suppliers – payments and deposits are non-refundable unless confirmed otherwise by the Company in writing.
• Cancellation fees, in addition to any non-refundable Supplier expenses incurred, will be charged as set out below depending on how far in advance the booking is cancelled (with further notes below):
• Cancelled 46 days or more before arrival: 20% of the total booking value
• Cancelled 45 days or less before arrival = 100% of the total booking value is due

AIRFARES & DELAYS:

• Airfares are subject to change without notice prior to ticketing. Any extra costs will be passed on for the Guest’s account. TTG is not responsible for any airline schedule or airfare changes, cancellations, overbooking or damage or loss of baggage and property. The Guest must make all claims for any loss or injury suffered on any airline directly with the airline involved. Keep in mind that air schedule changes may necessitate adding additional nights to the Tour. These schedule changes are beyond the control of TTG and any resulting additional costs are the Guest’s sole responsibility. TTG is not liable for any delays or additional costs incurred arising from airlines not running on schedule and/or flight cancellations.
• Accuracy of Information: The Guest is responsible for the accuracy of all information concerning the Tour, including dates, spelling of names, dietary requirements, airline and travel reservations and Tour particulars.
• The Guest is required to read all travel documentation carefully and notify TTG of any errors or omissions in advance of the departure, provided that such notification shall not mean or imply any transfer of responsibility or liability for such errors or omissions to TTG. TTG is not responsible for loss, damage or injury arising from any shortfall, error or omission in the information provided during the booking process or subsequent delivery of the Tour services.

ITINERARY AND OTHER CHANGES:

• Although every effort is made to adhere to schedules, the routes, lodges and camps may occasionally change before or while on the Tour as dictated by changing conditions. Such conditions may be caused by weather events such as seasonal rainfall on bush tracks, airfields and in game areas, by game migrations from one region to another, lodge and camp over-bookings, airline delays and schedule changes or other booking problems, amongst others. TTG is not responsible for such events or resulting itinerary changes. If a Guest or any of the Guest’s Associates initiates any changes to the Tour itinerary, including but not limited to accommodation, flights and services, the Guest is responsible for all expenses arising from that change. These additional expenses are the responsibility of the Guest to pay for directly. The Guest acknowledges and agrees that TTG is entitled to modify, improve, discontinue or otherwise cancel any part of a Tour or service for whatever reason at its sole discretion and without notice to the Guest.
• The Guest agrees and acknowledges that TTG is entitled to provide services to the Guest through Suppliers, subsidiaries or affiliated entities.

TIME+TIDE SAFARIS, ZAMBIA:

• Rates include:
  South Luangwa: All meals, accommodation, road transfers to/from Mfuwe Airport, standard drinks (soft drinks, house wine, beer and spirits), laundry, service charge & 2 daily shared activities: Game drives (day + night), walking safaris, seasonal boating (approximately December to April) and cultural visits. Complimentary 20min welcome massage for guests staying at Chinzombo.
• Rates excludes:
  South Luangwa: Premier spirits, wines, champagnes, entry visas, flights, meet and greets, spa treatments, gratuities, personal expenses, extras, and any other items not expressly stated as included.
• Rates include:
  Lower Zambezi: All meals, accommodation, road transfers to/from Royal Airstrip, standard drinks (soft drinks, house wine, beer and spirits), laundry, service charge & 2 daily shared activities: Game drives (morning + evening), walking safaris, boating, fishing, canoeing and cultural visits. A transfer fee is applicable each way will apply for all guests travelling to and from Jeki Airstrip. Private guide and vehicle are complimentary for guests staying at Time + Tide Albida, Cassia and Chongwe House.
  Complimentary 20min welcome massage for guests staying at Chongwe Suites or Chongwe House.
• Rates excludes:
  Lower Zambezi: Premier spirits, wines, champagnes, entry visas, flights, meet and greets, spa treatments, gratuities, personal expenses, extras, and any other items not expressly stated as included.
• Fishing and canoeing are available at Lower Zambezi Camps all season (Subject to weather conditions). For canoeing and walking safaris, the minimum age is 12 years old and is at the guide’s discretion.
• Check-in time is 14:00 – if the reserved accommodation is available on arrival, early check-in is allowed at no extra cost.
• Check-out time is 10:00 – if the reserved accommodation is available on departure with no immediately following booking, a late check out is available at no extra cost.

TIME + TIDE TSARA KOMBA

• Rates include:
  Accommodation and breakfast, lunch and dinner served at the Restaurant L’Atelier
  des Saveurs, in the Divine House Main Lodge, daily housekeeping, kayaking, stand-up paddleboarding and village tour
• Rates exclude:
  Rates exclude beverages and bar expenses, room service, a la carte or additional meals, entry visas, all activities and excursions, arrival and departure transfers from Nosy Be Airport, Hell Ville Port or Ankify Port (road & boat transfers), full-day deep-sea fishing, PADI qualifications, scuba diving, in room spa treatments, laundry, boutique purchases, gratuities and personal expenses
• Check-in time is 14:00 – if the reserved accommodation is available on arrival, early check-in is allowed at no extra cost.
• Check-out time is 11:30 – if the reserved accommodation is available on departure with no immediate following booking, a late check out is available at no extra cost.
• Transfers to Tsara Komba- The last boat is at 17:00 departing from the port at Nosy Be. No boats are permitted to travel in the dark. Should the guest arrive late, it is a requirement that they seek alternative accommodation at their own cost. It suggested that the guest arrive on a flight landing no later than 15:30 in order to arrive at the port in time. This is subject to change without notice
• Excursions at Tsara Komba:
  A full list of excursions is available for all guests, these are subject to availability and may change from time to time
  There is a 20% surcharge if these activities are booked directly on the Tsara Komba team (this is a compulsory Malagasy Government tax).

MIAVANA BY TIME+TIDE

• Rates Include:
  All meals, accommodation, selected premium wines and champagnes, top shelf spirits & bar drinks, laundry and the following activities: Guided lemur walks, forest walks, scuba diving around Miavana, resort diving lessons, snorkelling, boat cruises, island cultural visits, shore-based fishing, half-day fishing trips, surf-ski, water skiing, stand-up paddle boarding, wakeboarding, kite-surfing, daily group yoga classes, bicycling, quad biking and the use of an electric buggy per villa
• Rates Exclude:
  Reserve list wines & champagnes, entry visas, flights, Meet and Greet services at arrival airport, helicopter transfers, helicopter adventures, full-day deep-sea fishing, PADI qualifications, spa treatments and private yoga classes, boutique purchases, gratuities and personal expenses.
• Check-in time is 14:00 – if the Villa is available on arrival, early check-in is allowed at no extra cost.
• Check-out time is 11:00 – if the Villa is available on Departure with no immediately following booking, a late check out is available at no extra cost.
• If early or late check-in must be guaranteed in advance, the full nightly rate for the night before or after will be added to your invoice.
• Helicopter transfers:
  Time + Tide operates 1 Robinson Turbine R66 helicopter and 1 H130. The Robinson helicopter takes a maximum of 3 passengers and the H130 takes 6 passengers, for transfers and all flies with one pilot per aircraft. Availability of specific aircraft at the time of travel is subject to change.
• Our helicopters operate strictly during daylight hours, no exceptions are made.
• Unless requested with prior reservation, all helicopter transfers are shared. (Arranging a private Helicopter transfer will incur additional costs and can only be confirmed closer to the travel date)
• The specific helicopters used for each routing are determined by our operations team on island
• Maximum weight: checked luggage 20kg (44lbs); hand luggage 5kg (11lbs)- Soft sided bags only
• Our weight allocation per aircraft caters to both guests and luggage – If your specific flight surpasses the weight allocation, another helicopter will have to be chartered to transport additional luggage and/or passengers. All cost relating to these arrangements will be for the guest account.
• Soft-sided luggage, with no rigid sides owing to limited space is required due to storage hold size limitations of the helicopters.
• Excess luggage is not guaranteed to be brought to Miavana and if guests want to guarantee excess luggage, they must inform Time + Tide well in advance of the commencement of the Tour, and this will incur an additional cost.
• Helicopter transfers to/from areas in Northern Madagascar other than Nosy Be and Diego Suarez can be arranged at an additional charge and subject to availability. Please discuss this with your Travel Designer.
• Arrival and departure times are confirmed prior to arrival;
• If for any reason guests are delayed on/off the island, Time + Tide cannot be held responsible if guests are unable to get to Miavana / mainland Madagascar and any forced overnights in Diego Suarez, Nosy Be or Miavana or anywhere else in Madagascar are for the agent’s / guests’ account

HELICOPTER ADVENTURES

• Off-island helicopter adventures are privately guided by one of our Miavana guides, except for Ankarana where a local guide is used.
• These adventures are based on a maximum of 3 seats in the R66 and 6 seats in the H-130 helicopter and are subject to availability, however keeping in mind a guide joining from Miavana (which then reduces the number of guest seats to 2 in the R66 and 5 seats in the H-130).
• The cost of excursions will vary based on the chosen Helicopter Adventure.
• Rates are subject to change.
• There is a 20% surcharge if these adventures are booked and paid for directly on the island (this is a compulsory Malagasy Government tax).
• Each off-island helicopter adventure can last up to four hours approximately, including flying time.
• Appropriate snacks & drinks are included.
• Due to transfers of other guests and weather conditions, the departure time for any pre-booked helicopter adventures will only be confirmed on the island.
• All Helicopter flights are non-commissionable.
• Helicopter adventures will be refunded if we are not able to embark due to weather conditions.
• Our off-island adventures take a maximum of 4 passengers per helicopter and are subject to availability. For guided excursions, a private guide will be required to accompany guests in the helicopter reducing the maximum number of guests to 3. Appropriate snacks and drinks are included.
• Helicopter Adventures cost: $2,500 per flying hour per R66 helicopter and $5,200 per flying hour for the H130.

INSURANCE AND ADDITIONAL COSTS/EXPENSES:

• Upon confirmation of the booking, the Guest is solely responsible to ensure that he/she takes out the appropriate comprehensive travel and medical insurance, which is the principal means by which Guests must manage risks associated with a Tour. This insurance should include, at a minimum, coverage for the following: cancellation or curtailment of the Tour and any associated air travel, emergency evacuation expenses, medical expenses, repatriation expenses (all including but not limited to as a result of Covid-19 and related disease), damage, theft or loss of personal baggage, money and goods. It is recommended that the Guest consult with an insurance provider to identify any additional coverage available.
• Guests acknowledge and agree that TTG is not responsible for any damages, injuries, losses or costs incurred or suffered by the Guest or the Guest’s Associates, concerning, but not limited to, any of the above-mentioned events. The relevant service providers will charge Guests directly for emergency services, and Guests may find themselves in a position unable to access such services should they not carry the relevant insurance coverage.
• Guests acknowledge and agree that should TTG pay for emergency medical treatment or travel on behalf of the Guest or the Guest’s Associates, (which TTG may do at its own discretion, without obligation and without admission of liability) the Guest will be directly responsible to reimburse TTG for these expenses.
• Guests will be liable for any extended periods of stay at TTG accommodation and/or the additional use of its facilities and services, at TTG’s usual rates, irrespective of the cause of the extension (including medical reasons, travel restrictions, weather, force majeure events and any other cause whatsoever).

MEDICAL AND HEALTH:

• Guests acknowledge and agree that while a high level of fitness may not necessarily be required, a measure of physical activity is involved in all Tours. Participation on a Tour requires that a person be in generally good health. It is essential that the Guest with any medical problems or related dietary restrictions make them known to TTG well before departure. TTG will endeavour to address the restrictions but is not responsible for any limitations on the Tour arising from the physical/medical condition or dietary needs. The Guest is aware that he/she should take anti-malarial and other health precautions and that this is the sole responsibility of the Guest. TTG is not responsible for the accuracy of any medical information supplied by the Guest or which TTG supplies to health care providers on behalf of the Guest. The Guest is aware that he/she should consult his/her doctor for up-to-date requirements and personal recommendations well before embarking on the Tour.

TRAVEL AND MEDICAL DOCUMENTS:

• It is the responsibility of the Guest to ensure that he/she and the Guest’s dependents have all appropriate travel and medical documents, including but not limited to passports, travel permits, parental travel consent forms and vaccination certificates. It is the Guest’s responsibility to report on time for all travel arrangements and to ensure that he/she has all travel tickets and documents. In the event that the Guest fails to do so, TTG is not responsible for any additional costs incurred as a result thereof including but not limited to all costs associated with repatriation.

RISKS, DANGERS AND HAZARDS:

• The Guest understands that he/she will be entering into wildlife and other destination areas and may partake in safari and other activities arranged by TTG, which activities by their nature involve varying degrees of risk and hazard that may result in injury (bodily or otherwise), illness, death, damage, losses, expenses, costs or other adverse consequences (collectively, “Harm”) to Guests and others.
• The Guest confirms that he/she is aware of and appreciates the real hazards, dangers and risks (“collectively “Risks”) which are inherent in or associated with wildlife and other destination areas, and with safari and other activities operated or arranged by or through TTG, which Risks may be present at any time before, during and after the Guest’s Tour, including but not limited to:
• The presence of wild, unpredictable and dangerous animals, insects, reptiles and sea creatures, and their propensity to behave in ways that may result in Harm;
• The presence of poisonous, toxic or harmful plants and objects that may cause Harm;
• The prevalence of tropical, communicable and other diseases (including but not limited to Covid-19 and related diseases) and the real risk of suffering Harm as a result thereof;
• The potential for Guests, other participants, and other persons to behave in a negligent or reckless manner that may contribute to injury to themselves or others, and the potential for theft or loss of any personal property;
• Risks arising from natural disasters, uncontrollable or unforeseen events, or extreme weather conditions;
• The Risk of Harm arising from travel in remote locations, which usually have poorly maintained infrastructure, and from conveyance in or on any vehicle or other mode of transport (open or closed) on roads and/or over uneven and rough terrain, in the bush or wild, in the air or on water, including:
• The potential for vehicle or other transportation accidents;
• The potential for Harm arising from the incorrect or negligent operation of machinery, equipment, vehicles and other forms of transportation, and/or from any defects therein;
• Risk associated with traversing obstacles, rivers, streams, lakes, the ocean and other bodies of water that may be affected by unpredictable weather, tides and other circumstances, where there may not be any effective warning or control systems that might be expected in first-world jurisdictions.
• The risk of Harm arising from the theft of property;
• The Risk of Harm associated with unlawful, hostile or criminal acts by third parties, and with acts of terrorism, war, civil unrest, riot, detention, arrest or other act of any state, government, authority, organization or body (whether formally constituted, legally recognised or otherwise);
• Risks associated with undeveloped or partially developed countries and jurisdictions, including the unavailability of reliable electricity and communications, and problems associated with limited or unavailable health, safety and security services;
• The potential for the Guest’s air carrier increasing flight prices or changing flight arrival or departure dates and times, and the effects thereof on other arrangements.
• Whilst the Company will take reasonable steps to ensure that the safari and other services provided by TTG are of an acceptable standard, the Guest acknowledges and voluntarily accepts and assumes all responsibility for all Risks and agrees to the indemnity and limitation of liability below, which shall apply except if the loss or damage is caused solely by the willful misconduct or gross negligence of the Company.

INDEMNITY AND LIMITATION OF LIABILITY:

• Each Guest, by participating or agreeing to participate in any Tour, agrees and binds themselves and their Associates as follows:
• Guests participate in Tours voluntarily and entirely at their own risk. Guests and their Associates accordingly release and discharge TTG from any claims, actions, proceedings, damages, losses, costs, and expenses including, without limitation, any direct, indirect, special, incidental, consequential, or punitive damages (hereinafter collectively referred to as “Claims”) which the Guest/s or their Associates may have against TTG by reason of any matters, cause or thing whatsoever, including inter alia, death, disability, injury, loss, theft or damage to property or any other Harm, or any delays and/or cancellations of a Tour or part thereof arising from or relating directly or indirectly to any Risks, or otherwise arising from the Guest’s participation in the Tours or other services provided by TTG, and including any negligence on the part of TTG (hereinafter collectively referred to as “Causes”).
• Without limiting the generality of the aforegoing:
  Each Guest and each of their Associates hereby waives any and all Claims that they may have against TTG of whatsoever nature or Cause, and howsoever arising.
  Each Guest undertakes to indemnify, defend and hold TTG harmless and free from any and all Claims made by any other Guests, and/or by any Associates of any Guest, irrespective of the Cause.
• Any provisions in this document which express any benefit for or confer rights or protections in favour of the Company and/or TTG constitute irrevocable stipulations for the benefit of all of the companies, organisations, trusts, associations, entities and persons forming part of TTG, and such benefits, rights and protections may be adopted and enforced by any one or more of such companies, organisations, trusts, associations, entities and persons, at any time.

NO REPRESENTATIONS OR WARRANTIES:

• The Guest agrees that he/she shall not rely on, and shall have no remedies in respect of, any statement, representation, assurance or warranty made by TTG (whether innocent or negligent) in respect of the Tour or any other services. TTG does not make any express or implied warranties, endorsements, or representations whatsoever as to the operation of the Tour or other services provided on the Tour to the Guest which includes, but is not limited to, implied representations as to licenses, certificates, regulatory or governmental authorisations.

GENERAL:

• The Guest acknowledges that all statements made and/or information given by TTG are provided in good faith and are not to be construed in any way as a waiver of the terms and conditions referred to in this document.

ENTIRE AGREEMENT:

• The Guest understands and agrees that this document (read with the contents of other documents issued by TTG in connection with the relevant Tour, and its other standard terms and conditions as published on its website at www.timeandtideafrica.com) constitutes the entire agreement between the Guest and TTG. The Guest also acknowledges that he/she may be subject to additional terms and conditions when using, purchasing or accessing other services, affiliate services or third-party services during the Tour.
• Variation of Terms and Conditions: TTG reserves the right to modify, update and vary its standard terms and conditions from time to time at its sole discretion and without any notice other than publication on its website (www.timeandtideafrica.com), in order to cater for legal requirements, changes in circumstances, commercial considerations or other grounds. Changes to these terms and conditions become effective on the date they are posted on www.timeandtideafrica.com and the Guest agrees to be bound by them. No variation, novation or cancellation of this agreement shall otherwise be binding unless reduced to writing and signed by the Guest and an authorized representative of the Company.

ASSIGNMENT:

• This contract may not be assigned by the Guest without the prior written consent of the Company.

SEVERABILITY:

• Each provision of this document shall be regarded as a separate and severable provision which is separately enforceable. In the event of any one or more of the provisions being found to be invalid or unenforceable, then that or those provisions shall be severed from this document and the remaining provisions shall continue in full force and effect.

GOVERNING LAW / JURISIDICTION:

• This contract and any dispute or claim arising out of or in connection with it or its subject matter, validity or formation, as well as any non-contractual disputes or claims between TTG, Guests and their Associates (the Parties”) shall be governed by and construed in accordance with the laws of the Republic of Mauritius.
  Each of the Parties irrevocably agrees that the courts of Mauritius (to whose jurisdiction they hereby consent) shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this contract or its subject matter, validity or formation, as well as any non-contractual disputes or claims, and any other matter in connection with any booking or Tour in which the Guest participates.

GLOSSARY : DEFINITIONS & INTERPRETATION:

• “activity/ies” shall mean and include all activities provided for or arranged by TTG, including all activities related (whether directly or indirectly) to game drives, quad- or motor-biking, walking safaris, animal interactions, canoeing, rafting, boating, launches, landing, scuba diving, snorkelling, swimming, fishing, skin diving, surfing, kayaking, paddleboarding, kite surfing, surf skiing, wakeboarding, water skiing, jet skiing, cultural visits, nature walks, hiking, spa treatment, yoga and bicycling as well as travelling, whether on foot or by vehicle, watercraft or aircraft (including but not limited to helicopters), to or from or within destination areas, and any associated tourism, entertainment or leisure activities;
• “Associates” shall mean and include, in respect of Guests, their spouses (incl. any common law wife/husband), life partners, children and dependants (minor or adult), heirs, executors, successors-in-title, estate, beneficiaries, trustees, administrators, assigns and agents (incl. any primary agent);
• “destination area” shall mean and include all tourism, wildlife, leisure, entertainment and other areas in Zambia and Madagascar, and any other areas where TTG carries out operations or does business, as well as all property and facilities owned, leased, managed, controlled or traversed by TTG, and further includes areas owned or controlled by persons who provide facilities or services to or on behalf of TTG, or to Guests of TTG;
• “Guest” means a collective reference to the person(s) that will participate in the Tour(s), and shall include each traveller, passenger and tourist referred to in a booking or accompanying such person(s) (as an invitee or otherwise);
• “Harm” shall mean and include any injury (bodily or otherwise), illness, death, damage, loss, expense, cost or other adverse consequences;
• “primary agent” shall mean and include any travel agent, tour organiser or intermediary that organised or was involved in arranging a Tour on behalf of a Guest;
• “Supplier” means any contractor, subcontractor, service provider or other person with whom the Company or other TTG members make arrangements to provide goods or services to Guests in connection with a Tour or Tours, but excludes companies forming part of TTG;
• “Tour”, “reservation” or “booking” shall mean a package of tourism products and services including, without limitation, safaris, accommodation, meals, entertainment, travel, recreational and leisure trips and activities, and further includes incidental, associated or other goods and services provided by suppliers (whether part of TTG or other Suppliers) arranged by or through the Company, as set out in itinerary and other documents furnished by the relevant Company from time to time;
• “TTG” or “Time + Tide Group” means the Time and Tide Group, and includes (without limitation) the Company, T+T Air Services Ltd, MP Private Equity Holdings Ltd and Bon Espoir 847 Ltd and all of the companies connected with them in a network of direct and indirect shareholdings (whether holding, subsidiary, associated or affiliated) and including, without limitation, all of the companies, organizations, trusts, associations and entities that are directly or indirectly owned, managed and/or controlled by companies in the abovementioned network, and further including all directors, members, trustees, employees, agents and representatives of the companies, organizations, trusts, associations and entities that form part of the said network;
• Words Importing:
  – any one gender include the other two genders;
  – the singular include the plural and vice versa; and
  – natural persons include created entities (incorporated or non-incorporated) and vice versa.
• This Agreement shall not be interpreted against the party/ies responsible for preparing and drafting it.
• The use of the word “including”, “specifically” or “particularly” shall not be construed as limiting the meaning of the words preceding them to the one or more words or examples following them, and the meaning of the general words will not be restricted by the use of more specific words.
• Where a conflict exists with regard to the provisions of this Agreement and any other agreement or document, the provisions of this Agreement shall prevail.
• Where words, expressions or phrases used in this Agreement indicate or imply a document that is physically written (such as a paper document) then such words, phrases and expressions shall be deemed to include words and documents in electronic format.
• The termination or expiry of this Agreement shall not affect those provisions which expressly provide that they will continue to operate after such termination or expiry, or those provisions which of necessity must continue to have effect after such termination or expiry, even where those clauses do not expressly provide for this.
